02
Parties and subject matter
- These Terms constitute a public offer and are entered into between AREVIAN TECHNOLOGIES LLC (Tax ID 03037538, hereafter "KERI.AM", "we") and the platform user (hereafter "you", "user").
- KERI.AM is an aggregator: we provide a technology platform that connects buyers with partner restaurants and handles order intake, payment processing, courier coordination, and related functions. The contract for the sale of food is concluded between you and the restaurant; KERI.AM is not the seller of meals.
- KERI.AM also provides partner restaurants with paid access to a CRM, point-of-sale, order desk, and integrations under the terms of a paid subscription. The subscription is governed by a separate section of these Terms and by the Subscription Cancellation Terms.
- By using KERI.AM in any role (customer, partner restaurant, courier), you confirm that you have read, understood, and agreed to these Terms.
03
Registration and account
- Authorization through Telegram is required to use the customer service. You must be at least 18, or have parental/guardian consent.
- Registering a partner restaurant requires the founder/legal representative of a legal entity or sole proprietor authorized to enter into contracts on behalf of the organization. At registration the partner provides documentation confirming legal operation in the Republic of Armenia.
- You are responsible for all actions taken from your account and for the confidentiality of your credentials. Transferring your account to third parties without KERI.AM’s prior written consent is prohibited.
- We may suspend or delete an account in case of breach of these Terms, suspected fraud, or upon request of competent authorities; for subscription accounts — applying the rules in the "Subscription cancellation and subscription refunds" section.
04
Customer order placement and payment
- An order is considered accepted from the moment the restaurant confirms it. Until then it may be canceled automatically if seats or items are unavailable.
- Prices are listed in Armenian dram (AMD) and include VAT where applicable. Delivery cost is shown separately before order confirmation.
- Payment is made by card through a certified payment gateway (Visa / MasterCard / Arca) or in cash to the courier. The chosen method is locked in at the moment of order.
- When paying by card, the funds are reserved immediately; actual capture happens after the restaurant confirms the order. KERI.AM does not store card data — it is processed exclusively by payment providers (PCI DSS).
- A receipt / fiscal document is issued in accordance with the laws of the Republic of Armenia and is available in the Telegram bot and the user account.
05
Delivery and receipt
- The delivery time shown in the app is an estimate. KERI.AM does not guarantee a precise time and is not liable for delays caused by force majeure, road conditions, or third-party actions (see the "Force majeure" section).
- You must remain reachable on the contact provided and accept the order within 10 minutes of the courier’s arrival.
- If you do not accept the order without a valid reason, the order amount is non-refundable.
- Delivery zones, working hours and conditions are set by each restaurant individually and may change without separate notice to the customer.
06
Customer order cancellation and refunds
- This section governs cancellation of a specific order by the customer. For cancellation of a paid restaurant subscription see the "Subscription cancellation and subscription refunds" section and the /cancellation page.
- You can cancel an order free of charge within 2 minutes after placing it, or until the restaurant accepts it.
- After the restaurant accepts the order, cancellation is only possible with the restaurant’s consent. In that case, the refund is reduced by costs already incurred (prepared dishes, courier dispatch).
- If you receive an order of unacceptable quality or with missing items, contact us via support chat within 30 minutes. We review every situation individually and, where appropriate, will compensate the order in full or in part.
- Refunds for non-cash payments are credited to the original card within 3–7 business days.
07
Partner restaurant subscription
- Access to the CRM, POS, order desk, and integrations is provided to partner restaurants under the terms of a paid subscription (a tariff plan). Available plans: monthly, half-year, yearly; exact prices and inclusions are listed on the pricing page and in the user account.
- A subscription becomes effective once payment is received and remains active until the end of the paid billing period. By default the subscription auto-renews from the linked payment method; auto-renewal can be turned off at any time in the user account.
- The subscription price is locked in for the paid period. KERI.AM may change prices for future periods, notifying the user by email and Telegram at least 14 days before the end of the current paid period — the user retains the option to cancel before renewal at the new price.
- KERI.AM may modify the feature set of a tariff plan, adding new features or fixing existing ones; a material reduction of paid-plan functionality without an equivalent replacement entitles the user to a pro-rata refund for the remaining part of the paid period.
- Subscription access may be suspended in case of breach of these Terms — see "Platform usage rules" and "Subscription cancellation and subscription refunds".
08
Subscription cancellation and subscription refunds
- A subscription can be canceled at any time without penalties or holdbacks — yourself from the user account (Manage → Plan → Cancel) or by email to [email protected]. Detailed terms are on the /cancellation page.
- After cancellation the subscription remains active until the end of the already-paid billing period; no immediate charges or access reductions occur.
- Refunds for an already-started billing period are not made — this is standard SaaS practice and reflects the fact that the paid period remains fully available to the user.
- A refund for the unused portion of a period is possible in exceptional cases: technical inability to provide the service through our fault, accidental double charge, cancellation by the operator without fault of the user, material reduction of plan functionality without an equivalent replacement, or other grounds provided by the laws of the Republic of Armenia. Refunds are credited to the original card within 3–7 business days from the moment of approval.
- Restaurant data is retained for 90 days after the end of the paid period — in case the subscription is resumed. After 90 days the data may be permanently deleted, except for information that KERI.AM is required by law to retain (accounting reports, tax documents — 3 years).
09
Platform usage rules
- Using the platform for fraudulent purposes, placing knowingly false orders, conducting "chargeback abuse", or otherwise abusing the refund system is prohibited.
- Attempting to gain unauthorized access to KERI.AM systems, other users’ data, source code, or internal APIs is prohibited; reverse-engineering, disassembling, or copying platform software components is prohibited.
- Posting fake reviews, manipulating ratings, or using bots and automated mass-ordering tools without KERI.AM’s prior written consent is prohibited.
- Posting in public fields of the platform (dish names, descriptions, reviews, names) any content that violates the laws of the Republic of Armenia, third-party rights, or public morality is prohibited.
- Violating these rules leads to account suspension (for subscriptions — without refund for the current period), and where appropriate, referral to law enforcement.
10
Limitation of liability
- KERI.AM is not liable for the quality of food prepared by the restaurant, nor for allergic reactions if you did not inform the restaurant about your allergies at order time.
- KERI.AM is not liable for temporary unavailability of the platform due to causes beyond reasonable control (provider infrastructure failures, force majeure) — see the "Force majeure" section.
- KERI.AM’s aggregate liability to a customer is limited to the amount paid for the specific order that gave rise to the claim.
- KERI.AM’s aggregate liability to a subscriber (partner restaurant) is limited to the subscription amount paid for the billing period in which the claim arose.
- We are not liable for indirect, incidental, reputational, or consequential damages (including lost profits).
11
Intellectual property
- All rights to the KERI.AM platform (source code, design, copy, graphics, trademarks, logos) belong to AREVIAN TECHNOLOGIES LLC or are used under the corresponding licenses.
- A user’s use of the platform does not grant them any KERI.AM intellectual property rights, other than a limited, non-transferable, non-exclusive license to use it for personal non-commercial purposes (for customers) or within the scope of a tariff plan (for partner restaurants).
- By uploading content to the platform (dish photos, descriptions, logos, reviews), you grant KERI.AM a royalty-free, worldwide, non-exclusive license to use it for the purposes of providing, promoting, and advertising the platform. You confirm that you hold all necessary rights to the uploaded content.
- Use of the KERI.AM trademark, logo, or visual identity in third-party materials is permitted only within the brand book or with KERI.AM’s express written consent.
12
Restaurant partners
- Partner restaurants operate under a separate agreement and subscription with KERI.AM and must comply with the sanitary regulations and requirements of the Republic of Armenia.
- KERI.AM may suspend a restaurant on the platform if quality standards are breached, on substantiated customer complaints, or in case of breach of these Terms — applying subscription rules.
- Partners are independently responsible for the accuracy of menu, price, ingredients, and allergen information, as well as for the conformity of actually prepared dishes to the published menu.
13
Notices and communication
- All legally significant notices (changes to the Terms, subscription price changes, account suspension, responses to personal-data requests) are sent to the email linked to the account and/or to the user’s Telegram account.
- The user is responsible for keeping email and contact details in the user account up to date; notices sent to outdated contacts are deemed delivered.
- User requests to KERI.AM (legal, privacy, subscription, order-related) are sent to [email protected] and processed within a reasonable timeframe, typically 1–14 business days depending on the nature of the request.
14
Force majeure
- The parties are released from liability for failure to perform obligations caused by force majeure circumstances — natural disasters, military actions, epidemics, acts of public authorities, mass infrastructure failures (electricity, internet, payment gateways), strikes, and other circumstances beyond the parties’ reasonable control.
- A party affected by force majeure makes reasonable efforts to minimize the consequences and informs the other party of the onset and end of such circumstances as soon as reasonably possible.
- If force majeure continues for more than 30 calendar days and substantially blocks performance, either party may terminate the agreement without compensation for losses; for a subscription — a pro-rata refund is issued for the unused portion of the paid period.
15
Changes and termination
- KERI.AM may amend these Terms. Users are notified of material changes by email and Telegram at least 14 days before the changes take effect.
- If a user does not agree with the changes, they may stop using the platform or cancel the subscription before the changes take effect. For subscribers — the paid period will be honored in full under the terms in force at the time of payment.
- Continued use of the platform after the changes take effect constitutes acceptance of the new revision.
- Either party may terminate the relationship unilaterally subject to the subscription rules and these Terms.
16
Governing law
- These Terms are governed by the laws of the Republic of Armenia.
- Disputes that cannot be resolved through negotiation are referred to the courts of general jurisdiction of the Republic of Armenia at the operator’s registered location.
- If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in force.
